On September 22, 2009, Conrad Meyer, JD/MHA, moderated an audio seminar entitled: Structuring Joint Ventures between Physicians and Hospitals in an ever changing health care market.
The teleconference provided a comprehensive review of the overall process of evaluating, forming, developing and initially operating a joint venture among various healthcare providers, particularly joint ventures between physicians and hospitals. Such joint ventures are subject to a wide variety of legal and regulatory concerns, and the presentation provided an overview of the range of major issues that are commonly encountered. When looking at a healthcare joint venture, it is important to understand the entire picture. Organizational matters, including capital and financing issues and securities law issues; preparation of governing documents that adequately address inevitable disputes or changes in circumstances; analysis of federal anti-kickback and Stark law concerns; and anticipation of future operational issues that are impacted by structure are critical to an attorney’s role in a successful project.
